Areas of Practice

BUSINESS LAW

The firm’s business practice involves handling a wide range of legal issues for businesses, including formation, operation and transfer of ownership of business.  Parrish Attorneys helps the client create the appropriate business structure by analyzing the implications of federal and state tax requirements, discussing with the client how to limit liability for the stakeholders and then preparing the necessary formation documents. The firm counsels business owners, handles business transactions including negotiation, drafting, and review of contracts and other agreements associated with the activities of the business and advises clients on succession issues to help plan for the orderly transfer of ownership or management to the next generation of owners.

ESTATE PLANNING

Sound estate planning for preservation and transfer of assets avoids the devastatingly consequences of no or improper estate planning.  Each person’s estate planning needs will differ, depending on individual goals, assets owned, complexity of family relationships and estate and income tax planning needs.  An estate plan can include any number of documents, including a Will, Trust, durable power of attorney and health care advance directives. The Will sets forth the client’s wishes on many details such as the source of payment of debts, funeral expenses and costs of administration, who will inherit the assets and who will manage the estate until it is fully distributed. A Trust can be a very effective tool for estate and income tax planning, for planing in second marriages, for maintaining privacy of the terms of the estate plan and from disclosure of the decedent’s assets, and controlling distributions for any minor or special needs children. The durable power of attorney appoints a trusted person to act on the client’s behalf concerning financial affairs, and can be designed to be effective immediately or to spring into effect upon a triggering event.  The advance directives of a Health Care Power of Attorney and Living Will Declaration assure that a client’s healthcare wishes are known and will be followed in the event one is unable to communicate those wishes.  Parrish Attorneys has the legal and tax experience to guide clients in completing an estate plan that works for them.

PROBATE

The probate process in Ohio can be confusing and complicated, and the assistance of Parrish Attorneys can both expedite and ease the probate process.  Probating an estate requires that a person be appointed to conduct the administration of the estate by giving heirs and beneficiaries notice of the proceedings, collecting and making an inventory of the probate assets, providing for payment of debts and costs of administration, filing of required income and estate tax returns and accounting for distribution of assets. Parrish Attorneys helps clients appointed by the probate court as the fiduciary of an estate to discharge the duties of the fiduciary and complete the probate proceedings.
